Welcome to AINSOFT EDGE LTD ("we," "us," or "our"). We are a private company limited by shares, incorporated in Nigeria under the Companies and Allied Matters Act, 2020, with registration number 8837588. Our principal business activity is to build B2C and B2B solutions for education and other management systems, primarily through Software as a Service (SaaS) offerings, including our current SaaS product at ainsexamination.com (AINS Examination).
These Terms and Conditions ("Terms") govern your access to and use of our websites, applications, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services. Each SaaS product may have additional terms specific to that service, which supplement these Terms. In case of a conflict, the product-specific terms will prevail.
We comply with applicable Nigerian laws, including the Federal Competition and Consumer Protection Act (FCCPA) 2018 and the Nigeria Data Protection Regulation (NDPR). These Terms are designed to ensure a fair and transparent relationship with our users, both individuals and businesses.
1. Use of Our Services
1.1 Eligibility
You must be at least 18 years old or have the legal capacity to enter into contracts to use our Services. By using our Services, you represent that you meet these requirements.
1.2 Account Registration
To access certain features of our Services, you must create an account. You agree to:
Provide accurate, current, and complete information during registration.
Maintain the security of your account credentials.
Notify us immediately at support@ainssoft.com if you suspect unauthorized use of your account.
Be responsible for all activities under your account.
We reserve the right to suspend or terminate accounts that violate these Terms.
1.3 Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:
Use our Services to engage in illegal, fraudulent, or harmful activities.
Attempt to gain unauthorized access to our systems or networks.
Interfere with the functionality of our Services, including introducing viruses or malicious code.
Copy, modify, or distribute our Services without permission.
Use automated systems (e.g., bots, scrapers) to access our Services without our express consent.
1.4 Single Sign-On (SSO)
Our Services support SSO through third-party providers (e.g., Google, X, Amazon, LinkedIn, Facebook, GitHub). You agree to comply with the terms of these providers when using SSO.
2. Subscriptions and Payments
2.1 Subscription Plans
Our Services may be offered on a subscription basis, with pricing and terms outlined on the respective SaaS platform. Subscriptions may include free trials, recurring payments, or one-time purchases.
2.2 Payment Processing
Payments are processed through third-party providers (Stripe, Flutterwave, Google Pay, Apple Pay, Microsoft Store). You agree to:
Provide accurate payment information.
Abide by the terms and conditions of the chosen payment provider, including their refund policies.
Pay all applicable fees and taxes.
We are not responsible for errors or delays caused by payment providers. Users are advised to review the refund and payment policies of the selected payment provider before completing a transaction.
2.3 Cancellations and Refunds
You may cancel your subscription at any time through your account settings. Cancellations prevent future billing but do not automatically entitle you to a refund. Refunds are governed by our Refund Policy, which may be supplemented by product-specific refund policies. Each payment provider’s refund system applies, and users should familiarize themselves with these policies.
2.4 Price Changes
We may adjust subscription prices with prior notice. Changes will apply to your next billing cycle, and continued use constitutes acceptance of the new pricing.
3. Intellectual Property
3.1 Ownership
All content, software, and materials in our Services, including text, graphics, code, and designs, are owned by AINSOFT EDGE LTD or our licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
3.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal or business purposes, subject to these Terms.
3.3 User Content
Any content you submit (e.g., feedback, data entered into our Services) remains your property. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process it to provide and improve our Services, including for internal AI training where explicitly stated in a product-specific policy.
4. Privacy and Data Use
Your personal information is handled in accordance with our Privacy Policy. We do not share your data with third parties for marketing or advertising purposes. Data may be shared with:
Payment processors (Stripe, Flutterwave, Google Pay, Apple Pay, Microsoft Store).
Authentication providers (Microsoft Entra, Azure AD B2C).
Hosting providers (on-premises servers, Azure, AWS, Google Cloud, True Host).
Government agencies, as required by law.
For certain SaaS products, anonymized or aggregated data may be used for internal AI training, as disclosed in the respective product’s privacy policy.
5. Termination
5.1 By You
You may stop using our Services at any time. To terminate your account, contact us at support@ainssoft.com.
5.2 By Us
We may suspend or terminate your access to our Services if you:
Violate these Terms.
Engage in illegal or fraudulent activities.
Fail to pay applicable fees.
Pose a security risk to our systems or other users.
Upon termination, your right to access the Services ceases, and we may delete your account data, subject to legal retention requirements.
6. Limitation of Liability
To the fullest extent permitted by law, AINSOFT EDGE LTD, its officers, directors, employees, and agents will not be liable for:
Indirect, incidental, consequential, or punitive damages arising from your use of our Services.
Any interruptions, errors, or downtime, including those caused by third-party providers.
Losses due to unauthorized access to your account, unless caused by our gross negligence.
Our total liability for any claim will not exceed the amount you paid for the Services in the preceding 12 months.
7. Indemnification
You agree to indemnify and hold harmless AINSOFT EDGE LTD and its affiliates from any claims, losses, or damages arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
8. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved through good-faith negotiations. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts in Nigeria. You may also contact the Federal Competition and Consumer Protection Commission (FCCPC) for consumer-related disputes.
9. Third-Party Services
Our Services integrate with third-party providers (e.g., payment processors, SSO providers, hosting services). We are not responsible for their performance, availability, or policies. You agree to comply with their terms and review their refund and privacy policies where applicable.
10. Changes to These Terms
We may update these Terms periodically. Changes will be posted on our website with the updated effective date. Continued use of our Services after changes constitutes acceptance of the revised Terms.
11. Miscellaneous
Entire Agreement: These Terms, along with any product-specific terms, constitute the entire agreement between you and AINSOFT EDGE LTD.
Severability: If any provision is found invalid, the remaining provisions remain enforceable.
No Waiver: Our failure to enforce any right does not waive that right.
Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to a successor in the event of a merger or acquisition.

We are solely owned and operated by Uke Emeka Solomon, with no external shareholders. These Terms cover our operations as a first-time official company, including potential future expansions in SaaS offerings.
